Commissions, Affiliate and Coupon code usage
KEY POINTS in these terms (In Short):
- Coupon Code: The coupon code the customer chooses at checkout is final. No negotiations or disputes about which ambassador “deserves” the commission will be considered.
- New Customers Only: Commissions apply only to new customers who have never purchased from Sayuri before. No commission for existing or repeat customers.
- One Purchase Only: You earn on the first qualifying purchase per referred customer; no commission on repeat orders.
- No Self-Use or Collusion: You may not use your own coupon code, ask friends/family to do so, swap codes with other ambassadors, or split commissions.
- No Public Coupon Sites: Posting your code on discount/coupon websites, forums, or extensions (e.g., Honey) is forbidden.
- No In-Person Promotions: Coupon codes are valid only for the online academy store. They cannot be used or promoted inside the café, academy, trainings, or other Sayuri spaces.
- No Combining Discounts: Ambassador coupons cannot be combined with student discounts, promotions, or any other offers.
- Misuse = Forfeiture: Any abuse, manipulation, or activity against the spirit of the program may result in immediate termination and loss of commissions.

These Terms and Conditions (“Terms”) govern your participation in the Sayuri Healing Food Ambassador Program (“Program”) offered by Sayuri Healing Food Academy & Café (“SHFA,” “we,” “us,” or “our”), located in Bali, Indonesia. By applying to, participating in, or otherwise engaging with the Program, you (“Ambassador,” “you,” or “your”) agree to be bound by these Terms, as well as any updates or amendments we may make from time to time. If you do not agree to these Terms, you must not participate in the Program.
We reserve the right to modify these Terms at any time. Continued participation in the Program after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
1. Introduction and Program Overview
The Program allows certified alumni of SHFA’s certification trainings to act as community outreach representatives, promoting our recipes, courses, trainings, and values through ethical, respectful, and aligned means. As an Ambassador, you embody our ethos of conscious nourishment, harmony with nature, purity, precision, beauty, and transparency. You are not a salesperson but a steward of SHFA’s healing philosophy and integrity.
Ambassadors are independent participants and do not become employees, partners, agents, or representatives of SHFA through the Program. No employment, agency, or partnership relationship is created hereby. No territorial exclusivity is granted.
2. Definitions
Affiliate Commission: A payment equal to 5% of the net purchase amount of a Qualifying Purchase (after any allowed discounts applied to that transaction, excluding taxes, shipping, and payment fees). For clarity, Ambassador coupons cannot be combined with other discounts, including student discounts; where a student discount applies, the transaction is not a Qualifying Purchase.
Coupon Code: A unique, personal code provided to you for use in referrals, offering referred customers a 5% discount on qualifying website purchases.
Existing Customer: Any individual who has previously enrolled in an SHFA course, visited the SHFA academy or café in Bali, or made a purchase on the SHFA website prior to the referral.
Intellectual Property (IP): Includes but is not limited to recipes, course content, logos, trademarks, images, videos, designs, documents, and other materials owned by SHFA.
New Customer: An individual who has no prior interaction with SHFA as defined under Existing Customer and makes their first purchase via your referral.
Qualifying Purchase: A first-time purchase on the SHFA website by a New Customer using your Coupon Code, excluding any in-person academy or café transactions.
Referred Customer: An individual genuinely introduced to SHFA products or services through your promotional efforts.
3. Eligibility and Acceptance
To be eligible for the Program, you must:

Be at least 18 years of age.

Have completed a certification training at the SHFA academy in Bali (alumnus).

Demonstrate alignment with SHFA values of compassion, nonviolence, ecological awareness, and inner peace.

Submit and receive approval through our official application process.

Not be in violation of any prior agreements with SHFA or have been previously terminated from the Program.
Acceptance into the Program is at SHFA’s sole discretion. Upon acceptance, you will receive your unique Coupon Code and access to the Ambassador Kit.
4. Ambassador Rights and Obligations
Rights:

Earn Affiliate Commissions on Qualifying Purchases.

Teach recipes learned in your SHFA certification training to your audience, including for a fee, subject to Section 8 (IP & Assets) and Section 7 (Conflicts).

Promote SHFA via your Coupon Code and approved links/assets.

Share honest testimonials and experiences.

SHFA may re-share or repost your content with credit.
Obligations:

Represent SHFA honestly, respectfully, and transparently; no harassment, bullying, discrimination, or exploitation.

Maintain alignment with SHFA values; tone calm, clear, elevated—no clickbait or aggression.

Disclose your material connection in all promotions (e.g., #SayuriAmbassador, #Ad), as required by applicable law.

Adhere to local/international laws, platform rules, and these Terms.

Provide reasonable evidence of referral methods upon request (e.g., screenshots/links) for audit.
5. Commission Structure
Earning Commissions: 5% Affiliate Commission on the net amount of a Qualifying Purchase made by a New Customer using your Coupon Code. Commissions are limited to the first Qualifying Purchase per Referred Customer; no commission on repeat/recurring purchases.
Coupon Usage: Referred Customers receive 5% off their purchase. Coupons are valid exclusively on the SHFA website and cannot be used for in-person academy or café transactions. Coupons cannot be combined with other discounts, offers, or promotions (including student discounts).
Payouts:

Method: PayPal only.

Timing: Paid monthly after the order has remained final beyond SHFA’s 30-day refund window.

Threshold: Minimum payout threshold USD 100; balances roll over month-to-month until the threshold is met.

Taxes: You are responsible for any taxes on commissions.
Tracking & Verification: SHFA will track usage via YOUR COUPON CODE. We may require reasonable proof of referral if there is any dispute. Commissions may be denied or reversed if abuse is detected (see Section 6).
Fairness – New vs. Existing: Commissions are strictly for New Customer acquisition. Offering Coupons to Existing Customers or recurring users is prohibited and may result in forfeiture. You may not market to in-house students or guests at our café, events or academy or any Sayuri hosted venue / Sayur premises.
Refunds/Chargebacks: Commissions are paid only on transactions remaining final beyond 30 days. SHFA may claw back or offset commissions for refunds, chargebacks, fraud, or processing errors against current or future payouts.
6. Prohibited Activities and Abuse Prevention
The following are strictly prohibited. Violations may result in immediate termination, forfeiture of commissions, and legal action.

Poaching Existing Customers: Promoting your Coupon Code or soliciting referrals at the SHFA academy/café or in-person events in Bali (including as a repeat student or visitor). Targeting current students, customers, or attendees (including through private groups tied to an ongoing training) is prohibited.

Self-Referral/Proxy Use: Using your own code for your purchases, or via family/friends/assistants, or any proxy arrangement.
-
Collusion: Swapping codes with other Ambassadors, splitting commissions, or organized group-buy schemes.
-
Student Cohort Targeting: If you enroll in additional SHFA programs, you must not promote your code to fellow participants or within program groups.
-
Over-Claiming: Attempting to claim repeat purchases, or to backdate attribution without verifiable evidence.
-
Stacking: Using or encouraging any technical workaround to combine codes with other discounts (including student discounts).
-
Public/Indiscriminate Sharing: Posting codes on coupon sites, discount forums, or uploading to coupon browser extensions (e.g., Honey).
-
Automation/Spam: Bots, mass DMs, unsolicited email/SMS, or spammy posting.
-
Fraudulent Referrals: Fake accounts, simulated purchases, or refund gaming.
-
Misrepresentation: Exaggerating benefits, implying codes work in-person, or making unsubstantiated health claims.
-
Asset Misuse: Altering assets, using them on non-aligned content, or to promote competing services.
-
Side-Payments/Kickbacks: Offering to rebate or split commission with customers.
-
Bundling Without Approval: Packaging SHFA discounts with personal retreats/coaching/services without written approval.

Post-Termination Use: Continuing to share or imply validity of codes/assets after deactivation.
-
Data Misuse: Collecting/using Referred Customer data for unsolicited follow-ups, personal services, or third-party sales in breach of privacy laws.

Identity/Multiplicity: Multiple Ambassador identities, selling/loaning/assigning codes, or code trading.
Catch-All: Any conduct deemed exploitative, fraudulent, or contrary to the spirit of the Program—even if not explicitly listed—may result in immediate termination and forfeiture of commissions.
7. Conflicts of Interest and Inter-Ambassador Conduct
Role Conflicts:

Ambassadors who are simultaneously teachers, co-teachers, hosts, collaborators, staff, or contractors may not earn Ambassador commission on any product/course where they have a direct role. You must choose one role for any given product/course-related sale.

Ambassadors may not solicit or recruit within SHFA-managed communities (student groups, alumni groups, official chats).
Inter-Ambassador Conduct:

No disparagement, interference, or network poaching between Ambassadors.
-
Referral disputes are resolved by SHFA at its discretion based on available evidence; multiple claims on the same customer may result in no payout.
Report conflicts to [email protected]. Penalties may escalate from warning to suspension to termination.
8. Intellectual Property and Assets

License to SHFA: You grant SHFA a non-exclusive, royalty-free license to re-share your content with credit.

Use of Assets: Limited to Ambassador Kit (logos, images, social links) for aligned content only, unaltered, and subject to brand guidelines. Tag SHFA handles and use agreed hashtags.

Derivatives: You may not create derivative works (e.g., courses, books, videos) based on SHFA materials (recipes/course content) without express written permission.

Ownership: All IP remains SHFA’s. Unauthorized use may lead to legal action.
9. Confidentiality and Data Privacy

Do not share private communications, course content, or Ambassador resources.

Handle any personal data ethically and in compliance with applicable laws (e.g., GDPR). No sale, transfer, or misuse of personal data.
10. Termination and Consequences
SHFA may terminate your participation at any time for violations, with notice via email. Upon termination:

Codes and access are deactivated immediately.
-
Pending commissions may be forfeited in case of breach.
-
No residual earnings accrue post-termination.
-
SHFA may pursue legal remedies for IP theft, fraud, or defamation.
You may terminate by written notice. SHFA will remove your code upon receipt.
11. Indemnification
You agree to indemnify, defend, and hold harmless SHFA, its affiliates, employees, and owners from any claims, liabilities, damages, expenses, or legal actions arising from your misuse of IP, unauthorized activities, misconduct, violations of these Terms, or any abuse scenarios outlined herein.
12. Limitation of Liability
To the fullest extent permitted by law, SHFA shall not be liable for any indirect, incidental, special, or consequential damages arising from the Program. Our total liability shall not exceed commissions paid to you in the prior 12 months.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Indonesia. Venue and jurisdiction are exclusively in the courts of Bali, Indonesia (e.g., Denpasar). You waive any right to class actions.
14. Miscellaneous
Force Majeure: SHFA is not liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, government actions, war, labor disputes, pandemics, interruptions of internet or hosting services, or utility failures.
Severability: If any provision is invalid, the remainder remains in effect.
Entire Agreement: These Terms constitute the full agreement, superseding prior understandings.
Waiver: No waiver of any breach shall constitute a waiver of subsequent breaches.
Modifications: These Terms may be updated from time to time; continued participation implies acceptance.

Double-dipping (teacher/staff/host and ambassador commission on the same sale).

Collusion (code swapping, kickbacks, group-buys, refund gaming).

Misrepresentation (claiming >5% off, implying in-person use, fake testimonials, health claims without support).

Automation/spam (bots, mass unsolicited messages).
-
IP misuse (altering assets, creating derivative courses/books/videos from SHFA material without permission).
-
Any behavior SHFA deems exploitative, fraudulent, or against the spirit of the Program.
