Affiliate, Coupon Code and Commissions Terms and Conditions
Effective Date: August 18, 2025
These Terms and Conditions (“Terms”) govern your participation in the Sayuri Healing Food Ambassador Program (“Program”) offered by Sayuri Healing Food Academy & Café (“SHFA,” “we,” “us,” or “our”), located in Bali, Indonesia. By applying to, participating in, or otherwise engaging with the Program, you (“Ambassador,” “you,” or “your”) agree to be bound by these Terms, as well as any updates or amendments we may make from time to time. If you do not agree to these Terms, you must not participate in the Program.
We reserve the right to modify these Terms at any time. Continued participation in the Program after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
1. Introduction and Program Overview
The Program allows certified alumni of SHFA’s certification trainings to act as community outreach representatives, promoting our recipes, courses, trainings, and values through ethical, respectful, and aligned means. As an Ambassador, you embody our ethos of conscious nourishment, harmony with nature, purity, precision, beauty, and transparency. You are not a salesperson but a steward of SHFA’s healing philosophy and integrity.
Ambassadors are independent participants and do not become employees, partners, agents, or representatives of SHFA through the Program. No employment, agency, or partnership relationship is created hereby.
2. Definitions
- Affiliate Commission: A payment equal to 5% of the net purchase amount (after any applicable student discounts but before taxes and shipping) for qualifying referrals made via your unique coupon code.
- Coupon Code: A unique, personal code provided to you for use in referrals, offering referred customers a 5% discount on qualifying website purchases.
- Existing Customer: Any individual who has previously enrolled in an SHFA course, visited the SHFA academy or café in Bali, or made a purchase on the SHFA website prior to the referral.
- Intellectual Property (IP): Includes but is not limited to recipes, course content, logos, trademarks, images, videos, and other materials owned by SHFA.
- New Customer: An individual who has no prior interaction with SHFA as defined under Existing Customer and makes their first purchase via your referral.
- Qualifying Purchase: A first-time purchase on the SHFA website by a New Customer using your Coupon Code, excluding in-person academy or café transactions.
- Referred Customer: An individual genuinely introduced to SHFA products or services through your promotional efforts.
3. Eligibility and Acceptance
To be eligible for the Program, you must:
- Be at least 18 years of age.
- Have completed a certification training at the SHFA academy in Bali (i.e., be an alumnus).
- Demonstrate an active interest in plant-based living, holistic food education, and alignment with SHFA’s values of compassion, nonviolence, ecological awareness, and inner peace.
- Submit and receive approval through our official application process.
- Not be in violation of any prior agreements with SHFA or have been previously terminated from the Program.
Acceptance into the Program is at SHFA’s sole discretion. Upon acceptance, you will receive your unique Coupon Code and access to the Ambassador Kit.
4. Ambassador Rights and Obligations
Rights:
- You may earn Affiliate Commissions on Qualifying Purchases.
- You may teach recipes learned in your SHFA certification training to your audience, including for a fee, provided you comply with these Terms.
- You may promote SHFA courses and products via your Coupon Code and approved (when applicable) affiliate links.
- You may share personal testimonials and honest experiences related to SHFA.
- You may use pre-approved assets from the Ambassador Kit (e.g., logos, images) in accordance with Section 8.
- SHFA may re-share or repost your content on our platforms with proper credit.
Obligations:
- Represent SHFA honestly, respectfully, and transparently, maintaining integrity in all promotions.
- Treat others with respect; no harassment, bullying, discrimination, or exploitation is tolerated.
- Maintain alignment with SHFA’s values; all content must reflect compassion, nonviolence, and ecological awareness.
- Disclose your commercial relationship with SHFA in all promotions (e.g., #SayuriAmbassador, #Ad, or #Sponsored) as required by applicable laws.
- Use a calm, clear, and elevated tone in promotions; avoid clickbait, hype, or aggressive marketing.
- Adhere to local and international laws, platform community standards, and these Terms.

- Provide evidence of referral methods (e.g., screenshots) upon request for commission claims.
5. Commission Structure
- Earning Commissions: You earn a 5% Affiliate Commission on the net amount of a Qualifying Purchase made by a New Customer using your Coupon Code. Commissions are limited to the first Qualifying Purchase per Referred Customer; no commissions on repeat or recurring purchases.
- Coupon Usage: Referred Customers receive a 5% discount on their purchase. Coupons are valid exclusively on the SHFA website and cannot be used for in-person academy or café transactions. Coupons cannot be combined with other discounts, offers, or promotions (including student discounts).
- Payouts: Commissions are paid monthly via [specify method, e.g., PayPal], subject to a minimum threshold of $100. You are responsible for any taxes on commissions.
- Tracking and Verification: SHFA will track usage via website analytics. Commissions are subject to audit and may be denied if abuse is detected (see Section 6).
- Fairness for New vs. Recurring Customers: Commissions are strictly for New Customers to reward genuine acquisition efforts. Offering Coupons to Existing Customers or recurring users is prohibited and will result in forfeiture.
6. Prohibited Activities and Abuse Prevention
To prevent abuse, the following activities are strictly prohibited. Violations may result in immediate termination, forfeiture of commissions, and legal action.
- Poaching Existing Customers: Promoting your Coupon Code or soliciting referrals at the SHFA academy, café, or any in-person events in Bali (including as a repeat student or visitor). This includes approaching current students, customers, or attendees, or using social media to target them.
- Self-Referral or Personal Use: Using your own Coupon Code for personal purchases, or sharing it with family, friends, or accomplices to create unearned discounts/commissions.
- Collusion: Teaming with other Ambassadors or customers to swap codes, split commissions, or generate artificial referrals.
- Targeting as Repeat Student: If enrolling in additional SHFA programs, you must not promote your Coupon Code to fellow participants.
- Over-Claiming on Recurring Customers: Claiming commissions on repeat purchases; limited to first purchase only, with a 30-day window post-referral for verification.
- Stacking Discounts: Promoting or attempting to use Coupons with other offers; technical workarounds will invalidate transactions.
- Public or Indiscriminate Sharing: Posting Coupon Codes publicly on social media, forums, or websites; must be shared privately with genuine prospects.
- Fraudulent Referrals: Creating fake accounts, using bots, or enlisting accomplices for simulated purchases.
- Misrepresentation: Exaggerating discounts (e.g., claiming >5%), implying Codes work for in-person purchases, or making unsubstantiated health claims.
- Asset Misuse: Altering assets, using them for non-aligned content, or promoting competing services.
- Spamming: Unsolicited promotions in communities, emails, or channels, alienating potential customers.
- Post-Termination Exploitation: Continuing to use Codes or assets after termination.
- Data Privacy Misuse: Collecting or using Referred Customer data for unsolicited follow-ups, personal services, or third-party sales; comply with GDPR and other privacy laws.
- Third-Party Integrations: Linking Codes to external networks, apps, or discount sites without approval.
- Fake Testimonials: Fabricating reviews or incentivizing biased ones.
- Bulk/Group Exploitation: Organizing group buys or referral chains to inflate commissions.
- Cultural/Location Poaching: Targeting local Bali networks (e.g., wellness groups) to divert organic discoveries.
- Other Prohibitions: Hosting unauthorized classes; creating derivative courses/brands; reproducing IP; misrepresenting as an SHFA instructor; collecting money in SHFA’s name; promoting unrelated brands; using assets on non-plant-based content; political/religious/violent/derogatory messaging.
SHFA reserves the right to monitor activities, audit referrals, and require proof to detect violations. Any conduct deemed exploitative, fraudulent, or contrary to the spirit of the Program, even if not explicitly listed here, may result in immediate termination and forfeiture of commissions.
7. Conflicts of Interest and Inter-Ambassador Conflicts
- Conflicts of Interest: You must disclose any external roles, businesses, or affiliations that could compete with SHFA (e.g., own coaching, dual affiliate programs). Prohibited: Diverting referrals to competitors; using insider knowledge for personal gain; enlisting family/partners for indirect benefits. If becoming a teacher at SHFA, you forfeit commissions on class-related referrals and must choose one role.
- Inter-Ambassador Conflicts: No disparagement, interference, or sabotage of other Ambassadors. Referral disputes resolved by SHFA based on evidence; multiple claims on one customer result in no payout.
- Handling: Report to [email protected]. SHFA mediates; penalties escalate from warnings to termination.
- Ambassadors may promote globally online but must not position themselves as exclusive Sayuri representatives in any geographic area.
- Ambassador commissions do not apply to any courses, workshops, or products in which the Ambassador has a direct role (teacher, co-teacher, host, collaborator).
- Ambassadors may not create derivative works (e.g., courses, books, videos) based on SHFA recipes or materials without express written permission.
8. Intellectual Property and Assets
- You grant SHFA a non-exclusive, royalty-free license to re-share your content with credit.
- Use of Assets: Limited to Ambassador Kit (logos, images, social links). Must be subtle, unaltered, and for aligned content only. Tag SHFA handles and use hashtags (#sayurihealingfood, etc.).
- Prohibitions: No modifications, use on prohibited content, or implying official employment.
- Ownership: All IP remains SHFA’s; unauthorized use may lead to legal action.
9. Confidentiality and Data Privacy
- Do not share private communications, course content, or ambassador resources.
- Handle any collected data ethically and in compliance with applicable laws; no misuse for personal gain.
10. Termination and Consequences
SHFA may terminate your participation at any time for violations, with notice via email. Upon termination:
- Codes and access deactivated immediately.
- Forfeiture of pending commissions.
- No residual earnings.
- Possible penalties: Suspension, public retraction, legal action for IP theft/defamation.
You may terminate by written notice.
11. Indemnification
You agree to indemnify, defend, and hold harmless SHFA, its affiliates, employees, and owners from any claims, liabilities, damages, expenses, or legal actions arising from your misuse of IP, unauthorized activities, misconduct, violations of these Terms, or any abuse scenarios outlined herein.
12. Limitation of Liability
To the fullest extent permitted by law, SHFA shall not be liable for any indirect, incidental, special, or consequential damages arising from the Program. Our total liability shall not exceed commissions paid to you in the prior 12 months.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Indonesia. Any disputes shall be resolved through binding arbitration in Bali, Indonesia, under the rules of [specify body, e.g., Singapore International Arbitration Centre]. You waive any right to class actions.
14. Miscellaneous
- Severability: If any provision is invalid, the remainder remains in effect.
- Entire Agreement: These Terms constitute the full agreement, superseding prior understandings.
- Waiver: No waiver of any breach shall constitute a waiver of subsequent breaches.
